Standard Business Terms for the Supply of Portable Electrical Distribution Equipment & Assemblies (UK Market Edition)

IMPORTANT SAFETY NOTICE

The Buyer's attention is drawn to the provisions of Section 6 of the Health & Safety at Work Act 1974. It is critical that any goods purchased from the Company be installed, commissioned, operated, and maintained by or under the absolute supervision of competent, skilled, and trained persons in accordance with good engineering practice, current IEE/IET Wiring Regulations (BS 7671), BSI Codes of Practice, Statutory Requirements, and any instructions specifically advised by the Company (including information marked on the goods or supplied with them).

1. DEFINITIONS AND CONTRACT FORMATION

1.1. 'Company' means Canning Power Distribution Ltd (registered in England and Wales). 'Buyer' means the legal entity or individual consumer purchasing products. 'Products' means the heavy-duty portable electrical distribution boxes, made-up cables, assemblies, and associated hardware specified in the Order Confirmation.

1.2. All orders placed by the Buyer are subject exclusively to these Terms and Conditions. Any contrary terms embedded within a Buyer's purchase order, portal, or procurement documentation are expressly rejected and shall have no legal effect.

1.3. Acceptance for Standard Sales: Unless the Buyer holds an approved commercial credit account under clause 1.4, payment must be received in full for the whole of the price of the goods ordered before the order can be accepted. Once cleared payment has been received, the Company will confirm acceptance by sending an email to the address provided by the Buyer. The Company’s formal acceptance brings into existence a legally binding contract.

1.4. Account Credit Exceptions: The Company may accept orders from Government institutions, Public Limited Companies, or other Corporate Bodies subject to satisfactory credit references processed through the Company's chosen credit rating agents, and on the strict condition that the purchaser accepts these Terms and Conditions in full.

1.5. Document Accuracy: Product images on the website and in any literature supplied are for illustrative purposes only. Technical data sheets supplied by the manufacturer are correct at the time of going to press. Illustrations and descriptions are subject to change without notice under the principle of Errors and Omissions Excepted

2. TECHNICAL SPECIFICATIONS AND APPROVALS

2.1. All products manufactured by the Company are engineered to meet UK standards and comply strictly with the UKCA (UK Conformity Assessed) marking regulations.

2.2. It is the Buyer's sole responsibility to ensure that the technical specification of the portable distribution equipment meets the requirements of their intended site deployment.

2.3. The Company designs and builds systems to comply with BS 7671 (IET Wiring Regulations) standards governing temporary electrical installations at construction sites, entertainment events, and outdoor assemblies. The Company is not liable for site-level non-compliance caused by improper integration into local upstream power sources or generators.

2.4. All power distribution boxes and made-up cable assemblies are supplied accompanied by full factory test certificates.

3. PRICES AND PAYMENT LOGISTICS

3.1. Base Pricing: The prices payable for goods that you order are as set out on our website or official quotation and are quoted exclusive of Value Added Tax (VAT) and carriage unless otherwise stated. Published prices are subject to change without notice.

3.2. Standard Payment Rule: Unless agreed otherwise in writing by the Company, the default payment structure requires a 100% non-refundable deposit upon order confirmation.

3.3. Account Payment Window: Notwithstanding clause 3.2, on an exception basis where different credit account payment terms have been formally agreed under clause 1.4, the Buyer shall pay the price for the goods within 30 days of the date of our invoice.

3.4. Late Payment Penalties: Overdue balances on exception-basis credit accounts shall automatically trigger statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, calculated at the rate of 8% per annum above the Bank of England baseline lending rate from the date of due payment of the invoice until payment of cleared funds, plus statutory debt recovery compensation charges.

4. Cancellation, Returns, and Re-stocking Fees

4.1. Business Purchase Restrictions: Business purchasers, trade contractors, event organizers, and corporate account holders have no automatic right to cancel validly formed orders under these terms.

4.2. Standard Re-Stocking Charge: If the Company, at its absolute discretion, agrees in writing to accept the return of a standard, off-the-shelf catalogueitem from the Buyer, a mandatory re-stocking fee of 20% of the net invoice value shall be applied. All such returned items must arrive at the Company's facility completely unused, undamaged, and inside their original sealed protective packaging. The cost and risk of return transit shall remain entirely with the Buyer.

4.3. Custom & Configured Unit Exemptions: Any products that are built-to-order, custom-configured, wired to client layout drawings, laser-engraved, painted, or altered pursuant to the technical requirements of the Buyer are 100% non-cancellable and non-refundable. Once factory production or material allocation has commenced, the business or consumer Buyer remains fully liable for the complete purchase price.

4.4. Consumer Statutory Cancellation: If and only if the purchaser is acting as an individual consumer (within the meaning of relevant UK consumer protection legislation), they may cancel their contract with us for the goods ordered at any time up to the end of the seventh working day from the date they receive the ordered goods, subject to clause 4.5. No cancellation penalty will apply.

4.5. Consumer Exclusions: A consumer cannot cancel a contract under any circumstances if:

(i) The goods have been removed from the sealed protective packaging in which they were delivered; or

(ii) The products were custom-configured, assembled, or manufactured pursuant to the unique requirements of the Buyer as detailed in clause 4.3.

4.6. Consumer Return Logistics: To cancel an eligible contract, a consumer must notify the Company in writing via email or post. The consumer must send the goods back to our contact address at their own cost and risk. If you cancel your contract but we have already processed the goods for delivery, you must not unpack the goods when they are received and must return them immediately. Once notified and goods are safely returned in their original condition, sums debited from your credit card will be re-credited within 7 days. If the goods are not returned, we shall be entitled to deduct the direct costs of recovering the goods.

4.7. Cancellation by the Company: The Company reserves the absolute right to cancel the contract between us if:

(i) We have insufficient stock or component availability to deliver the goods you have ordered;

(ii) Our designated courier does not deliver to your specific area, region, or country;

(iii) The order value falls below our acceptable commercial minimum; or

(iv) One or more of the goods ordered was listed at an incorrect price due to a typographical error, software glitch, or structural pricing miscalculation.

4.8. Company Cancellation Remedy: If the Company cancels the contract, the Buyer will be notified via email and any sums debited will be re-credited to your account as soon as possible, and in any event within 30 days. The Company shall not be obliged to offer any additional compensation or liquidated damages for commercial disappointment.

5. Risk, Freight and Retention of Title

5.1. Delivery Addresses: The Company will deliver the goods ordered by you to the address you give us for delivery at the time you make your order, save that we reserve the right to deliver to your billing address only. Deliveries will not be left unless the goods are signed for in the physical presence of our designated courier.

5.2. Shipping Timelines: Delivery will be made as soon as possible after your order is accepted. We reserve the right to separately ship orders of more than one item, but in such circumstances, you will not be charged for additional delivery fees.

6. Entire Agreement

These terms and conditions, together with our current website prices, delivery details, contact details and privacy policy, set out the whole of our agreement relating to the supply of the goods to you by us. Nothing stated by any sales person on our behalf should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods offered for sale by us. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.
